Expertise

Jeremy Rosenthal is a commercial and corporate lawyer practising in mergers and acquisitions, joint ventures, insolvency and corporate reconstruction, board advisory, contractual negotiations and general commercial matters.

Jeremy has broad industry experience, including in agribusiness, retail, food manufacturing, information technology and professional services.

In agribusiness, Jeremy has provided legal advice to a number of peak industry bodies including Meat and Livestock Australia, Grain Trade Australia and Grains Australia.

Education

Jeremy joined SBA Law as a Partner in 2013. He was previously a Principal at a national firm and has held a senior in-house legal role in a major ASX listed company. Jeremy was admitted to practice in 1998 and holds bachelor degrees in law and commerce.

Experience

Jeremy’s recent corporate and commercial transactions include:

  • acting for the vendors in relation to the sale of Merricks Capital to Regal Partners Limited
  • acting for Midway Limited (ASX:MWY) in relation to the sale of its 17,000 hectare plantation estate to the Munich Re Group. This transaction included the design and implementation of a binding contractual framework for the additional investment of AUD$200 million in land to be purchased for the development of new hardwood plantations
  • acting for DWS Limited (ASX:DWS) in relation to its takeover by scheme of arrangement by HCL Limited
  • acting for Tiverton Agriculture Impact Fund in relation to its acquisition of Carbon Neutral Pty Ltd and in relation to the establishment of its joint venture with The Nature Conservancy formed for the purpose of the joint acquisition of the Great Cumbung
  • acting for the RIFA group in relation to the sale of its Australian farm portfolio
  • acting for Global Retail Brands Australia in relation to its acquisitions of Robins Kitchen, MyHouse and Bessemer

Awards and recognition

Jeremy was recognised in the leading Victorian corporate and commercial lawyers (SME and mid-market) category of the 2018 edition of Doyle’s Guide and in the leading Victorian corporate lawyers category in the 2019, 2022 and 2023 editions of Doyle’s Guide.

Professional boards/committees

Jeremy is a member of and on the Panel of Chairmen of the Grain Trade Australia Export Contracts Tribunal and was member of the Racing Appeals and Disciplinary Board of Racing Victoria from 2009-2020.
